PURPOSE: The purpose of this Dealer Agreement is to establish terms of a commercial business arrangement between a Dealer (hereafter the "Dealer"), as written below, and GSA Direct, LLC, (hereafter the "Seller") with registered offices located at 802 W. Bannock Street, Boise Idaho 83702. WHEREAS: A. The Seller is a distributor of firearms, parts and accessories; B. The Seller is the Exclusive Wholesale Distributor for SRM Arms firearms, parts and accessories; C. The Dealer is engaged in the business of buying and reselling certain products to its customers; and D. The Dealer wishes to distribute certain products sold by the Seller as set forth in the Dealer Price Chart (the "Products") and the Seller wishes to appoint the Dealer as a Dealer of the Products; NOW THEREFORE in consideration of the recitals, the mutual covenants hereinafter set forth, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto hereby agree as follows: 1. The Dealer agrees to use its best efforts to promote the sale of the Products. 2. The Dealer agrees to buy the Products from the Seller at the Seller's regular published Dealer prices, as set forth in the Dealer Price Chart, plus applicable taxes and shipping. The Seller ships via national common carriers. 3. The Seller requires that each Dealer have a viable sales presence. 4. The Seller shall have the right to change its published list prices for the Products at any time or times upon notice to the Dealer. 5. The Dealer shall not advertise to sell, nor sell, Products below the Minimum Price, as set forth in the Dealer Price Chart. Failure to comply with this section may result in the immediate termination of this Agreement. 6. Back orders will be shipped when available. 7. At the discretion of the Seller, the Seller may require a 5 percent (5%) deposit on Products back ordered with the Product manufacturer. Deposits are non-refundable and are required to secure the Dealer’s order. 8. All sums due to Seller shall be due and payable prior to delivery of the Products to the Dealer. Acceptable forms of payment include checks and electronic fund transfers. Major credit cards are accepted, and shall incur a three percent (3%) transaction fee. The seller reserves the right to charge the full amount of the invoice 10 days prior to shipping an order to ensure payment. Orders paid for by check will ship 10 days after deposit. 9. All NFA weapon transactions shall be paid in full, prior to ATF paperwork being submitted for approval. If the NFA weapon transaction is not approved by ATF/NFA a full refund will be given. All NFA weapon sales are final and the weapon will be shipped upon receipt of proper approval by the U.S. BATFE, NFA division. 10. If a non-NFA order is cancelled, following shipping, a 15% administration fee can be levied prior to a return. 11. For all weapons, NFA and non-NFA, if a manufacturer's defect is found, the gun will be repaired or replaced at the sole discretion of the manufacturer; however, no refunds will be given. Please see the manufacturer's warranty for more information. 12. GSA Direct does not directly warranty the products it distributes. Please see the manufacturer’s limited warranty for more information. Seller does not warrant that the Products will perform without error or that it will run without immaterial interruption. Seller provides no warranty regarding, and will have no responsibility for, any claim arising out of: (a) a modification made by Dealer / Recipient; or (b) use of the Products in combination with or on products other than as specified in the Technical Specifications of the Product. 13. Neither the Dealer nor any of its employees shall be deemed employees or agents of the Seller. 14. The Dealer shall not assign this Agreement without the prior written consent of the Seller. 15. The Seller shall have neither liability nor responsibility for the sale of a firearm to an unauthorized person or the criminal, illegal or general careless use of the firearm once the transfer of a firearm is completed between the Seller and the Dealer. 16. The Seller, its respective agencies and all their respective directors, officers and employees, are indemnified and held harmless, including costs and attorneys' fees, one and all, from all actions and liability due to injury, loss or damage to person or property, including death, caused in whole or in part, directly or indirectly from the use, misuse, acceptance or possession of any firearm or item transferred between Seller and Dealer. 17. This Agreement is the entire agreement and understanding between the Dealer and the Seller. This agreement may be amended or addended by the Seller at any time, by notice in writing, to the Dealer. 18. This Agreement shall commence on the date first written above and shall remain in full force and effect until terminated by either party immediately by notice in writing. 19. This Agreement supersedes any agreements previously entered into between the parties relating to the sale and distribution of the Products. 20. This Agreement shall be governed by and construed in accordance with the laws of the State of Idaho.
